A10 Networks Executive Compensation Philosophy

A10 Networks compensation program is overseen by the Compensation Committee, which is comprised of three Directors. The committee is responsible for the compensation programs for executive officers. In order to decide how to compensate executive officers, the compensation committee considers the recommendations of A10s Chief Executive Officer regarding compensation for the respective executive officers that report to him based on our results and each executive officer’s contribution toward these results and overall performance. Our Chief Executive Officer does not make recommendations as to his own compensation.

A10 Networks compensation program is designed to attract and retain the best available personnel for positions of substantial responsibility, provide incentives for such persons to perform to the best of their abilities, and to promote the success of our business.

A10 compensates for achievement of short-term and long-term financial and operating goals and have reasonable base salaries, limited perquisites, and no pensions or gross-up payments. The following table identifies the main elements of our executive compensation program and the rationale for each:
